Frame Service User Agreement

  • 1. For the purposes of this User Agreement, the following terms shall have the following meanings:
  • 1.1 Frame — Frame Media Limited Liability Company, which administers Service and owns all relevant exclusive property rights to the Service, including rights to the domain name.
  • 1.2 The Service — an Internet resource located in the Internet at the frame.uz website. Depending on the context, the Service also means the design (graphic design) of the resource, access to the resource via Frame program for mobile applications and/or Frame program for devices supporting Smart-TV technology.
  • 1.3 User — a person who has completed the registration (account creation) and/or authorisation procedure on the Service. Any person accessing and using the Service automatically confirms that he/she fully agrees with the provisions of this User Agreement and that the requirements set forth in this User Agreement are applicable to him/her.
  • 1.4 Personal Account (Wallet) - the User's balance on the Service and/or points that the User can use to pay for individual functions or services on the Service.
  • 1.5 User's information — information about the User received by Frame in connection with the User's use of the Service, as well as attributed to the User's personal information in accordance with Frame's Privacy Policy.
  • 1.6 Comments — information posted by the User on the Service, including: links to other websites, film reviews, photos (images), and other files and texts.
  • 1.7 Personal Account - the User's balance on the Service and/or points that the User can use to pay for individual functions or services on the Service.
  • 1.8 Any terms and concepts used in the User Agreement that are not reflected in this section will be interpreted in accordance with the meaning derived from the text of the User Agreement. In the event of any disagreement regarding the interpretation of a term and/or concept used in the User Agreement, the interpretation determined by Frame will apply.
  • 2. Subject and general provisions of the Agreement.
  • 2.1 This User Agreement (Agreement) establishes the terms and conditions of use of the Service and constitutes a contract between the User and Frame. The use of the Service by the User is allowed only in accordance with the Agreement and exclusively in the ways provided by the technical capabilities of the Service.
  • The User undertakes to familiarise him/herself with the terms and conditions of the Agreement and independently monitor their changes.
  • 2.2 Any use of the Service shall be deemed an acceptance of the Agreement by the User. The acceptance of the Agreement can also be considered as the selection of the item (with ticking the ‘tick’) and/or clicking the ‘Next’, ‘Continue’ button in the interface of the Service when the User accesses the Service for the first time.
  • Acceptance of the Agreement means that the User fully, unconditionally and unequivocally accedes to the Agreement as a whole without any exceptions or limitations, confirms that he/she has read and agrees to all terms, conditions, provisions set forth in the Agreement.
  • The use of the Service and any other actions on the Service by the User also means that the User accepts and agrees to all the terms and conditions of Frame Privacy Policy and, where applicable, the License Agreement for Frame Mobile App and/or the License Agreement for Frame App for Smart-TV.
  • 2.3 The Service provides the possibility of remote access to TV channels and audiovisual works in order to show them on appropriate conditions to Users located in the territory of the Republic of Uzbekistan in the streaming mode to the User's devices if there is an Internet connection, as well as provides the possibility of access to photo images, descriptions of works, etc. (including the concept of audiovisual works - Content). The possibility of temporary downloading of the Content to the User's devices may be provided to the User at the sole discretion of Frame in relation to certain units of Content and may depend on the type of the User's device, as well as on the unit of Content.
  • Through the Service, the User may also be provided with opportunities to use certain features and services free of charge or for a fee, including within the framework of marketing campaigns. The procedure for their provision is established by the relevant rules and agreements with the User.
  • 2.4 Through the Service, the User can purchase partner services from Frame's partners. The description and conditions of the partner service are contained on the pages of the partner services. When purchasing such services, the User enters into a contract with a partner and the funds are collected by the Partner, not Frame. The User is obliged to contact the Partner directly on questions of settlements (refunds) and the quality of the Partner Service. When purchasing and using a partner service, the User is obliged to comply with the terms and conditions of the Agreement on the use of the Service.
  • 2.5 The Service is provided “as is”. Frame does not assume any responsibility, including for the conformity of the Service with the User's purposes, expectations and requirements, nor does Frame guarantee that the Service will be provided uninterrupted, fast, reliable and error-free.
  • 2.6 The use of the Service in a manner not expressly specified in the Agreement shall not be considered as authorised to the User. Such use will be illegal and may be a reason for civil, administrative and criminal liability in accordance with the legislation of the Republic of Uzbekistan.
  • 2.7 Frame hereby notifies the User that Frame is the Rights Holder of the design and programme code of all formats and variations of the Service, as well as of the trademark ‘FRAME’.
  • 2.8 The Service may show videos informing the User about the Service Content.
  • 2.9 Using the Service, the User in accordance with Part 1 of Article 30 of the Law of the Republic of Uzbekistan ‘On Advertising’ agrees to receive messages of advertising and informational nature in any manner not prohibited by the laws of the Republic of Uzbekistan. The User has the right to refuse to receive messages by disabling push notifications in the devices settings, or by sending an email to Frame's email address.
  • 2.10. Frame grants the User the right to use the Service on the terms of an open non-exclusive non-commercial license. The Agreement does not provide for the transfer of proprietary rights to the Service or its components.
  • 2.11. By concluding the Agreement, the User agrees to provide Frame with a telephone number for the purposes of registration/authorization, payment transactions in the Service, and communication with Frame representatives.
  • 3. Registration and authorisation on the Service.
  • 3.1 Access to the use of the Service is provided to the User on condition that the User has passed the registration procedure (account creation), or authorisation in the Service using the User's previously registered User account.
  • 3.2 The User enters in the appropriate field his/her mobile phone number, to which Frame sends a text message containing a numeric code. The received code is entered by the User in the appropriate field, and if technically possible, the entry of the said code is made automatically.
  • In this case Frame is not responsible for delays, failures, incorrect or untimely delivery of text messages and other technical problems that lie outside Frame's area of responsibility and influence.
  • 3.3 Only one User account can be created for one mobile phone number of the User indicated on the Service.
  • 3.4 The User, if technically possible, may also be provided with the opportunity to register (create an account) or authorise through the use of a quick response code (QR code).
  • 3.5 User agrees to provide true, accurate and complete information about him/herself when registering (creating an account) and to keep this information up to date. In case of any changes to such information, the User undertakes to bring his/her data in line with these changes. The User agrees that Frame is not obliged to verify the accuracy of the User's Information and does not exercise control over the User's legal capacity.
  • 3.6 Frame has the right to block and/or delete the User’s account, deny access to all or some of the features of the Service, and delete the User's Information without giving reasons, including in case the User violates the terms and conditions of the Agreement, as well as in case the User provides incorrect information about themselves or Frame has reason to believe that the information provided by the User about themselves is untrue, incomplete, inaccurate, violates the terms and conditions of this Agreement or the User uses someone else's information.
  • 3.7 Frame reserves the right at any time to require the User to confirm the information provided by the User about him/herself and to request supporting documents in this regard.
  • 3.8 By creating and using an Account on the Service, the User is obliged:
  • 3.8.1. provide accurate and up-to-date information in the registration forms;
  • 3.8.2. provide a telephone number that belongs to the User;
  • 3.8.3. if necessary, confirm the phone number by entering a code, following a link, or by other means at Frame's choice;
  • 3.8.4. periodically update the information provided to ensure that it is accurate, current and complete.
  • 3.9. Users located in territories other than the Republic of Uzbekistan may not be able to access and/or restrict some of the functions of the Service and the possibility to connect the Subscription.
  • 3.10. The User has the right to delete his/her Account at any time through the settings in the personal cabinet. The User understands and agrees that the deletion of the Account means that the provision of Services is terminated voluntarily at the initiative of the User without reimbursement of costs and losses to the User. Once the Account is deleted, the browsing history and purchased accesses will not be restored.
  • 3.11. The User who has registered and authorized on the Service has a Personal Account available in the Account. The Personal Account may be replenished as a result of: activation of a promotional code; bonus programs; replenishment of the account via bank card; other methods determined by Frame. Points placed on the Personal Account can be used only for ordering Services and are not compensated to the User with money.
  • 4. Access to viewing the Content.
  • 4.1 In order to get access to viewing the Content within the Service, the User must purchase a subscription for a fee, which implies remote access to the Content for a limited period of time (Subscription). The Terms and Conditions for purchasing a Subscription on the Frame service can be found here https://frame.uz/documents/en/sub-policy.docx.
  • 4.2 Access to the Content in accordance with the terms of the Subscription is possible by entering the account details of the User account through which the Subscription was purchased on the User's device. Within the framework of one Subscription, access to and simultaneous playback of the Content is allowed on no more than 3 devices of the User, unless otherwise agreed between Frame and the User. The User may connect an additional device for a fee.
  • The The User can create 5 profiles within one Account. It is possible to create a “Kid profile” with limited content, the main profile in this case can be used only by an adult.
  • 4.3 The User may access the Content after activating the Subscription and only during its validity period. The beginning of the validity period of the Subscription is determined by the exact time (minutes, hours, date, month, year) when the Subscription was activated. After the expiration of the validity time, access to the Content is terminated.
  • 4.4 The User agrees that the quality of viewing the Content depends on the speed of the Internet network. The Service may be available provided that the User's device has a stable and uninterrupted connection to the Internet with a data transmission speed of at least 1.5 Mbit/sec for downloading files in SD format (for original quality at least 5 Mbit/sec) and at least 5 Mbit/sec for downloading files in HD format (for original quality at least 15 Mbit/sec), as well as at least 1 Mbit/sec for sending files, the response time of the Internet connection should be no more than 300 ms (PING, ms).
  • 4.5 The Service may be unavailable or work incorrectly on outdated devices, where the necessary software and requirements for the functioning of the Service are not supported.
  • The User is solely responsible for the compatibility of his/her device with the Service and the ability of his/her device to view the Content. In case the User's device does not support the file format of the Content unit, Frame does not bear any obligation to reimburse the User for the paid right to view the Content. Frame is not responsible for the inability of the User to view the Content, as well as for the low quality of transmission, due to the specifics of the User's devices and the quality of its connection. Frame is not responsible for the quality of the Internet connection of the User's device. All issues related to the configuration of access and operation of the Internet, configuration of the User's devices and software are not covered by the Agreement and are subject to independent settlement by the User.
  • 4.6 By being able to view the selected Content, the User guarantees that he/she corresponds to the age category specified in the description of the Content unit. The User who has not reached the age corresponding to the age category specified in the description of the Content unit undertakes to refrain from viewing such Content. The User who has reached the age of 18 years guarantees that access to the Service by minors is under his/her control, subject to the restrictions established by the current legislation of the Republic of Uzbekistan. Otherwise, responsibility for violations of the terms of this paragraph of the Agreement by the User who has not reached the required age shall be imposed on parents, adoptive parents, guardians, custodians or other legal representatives in accordance with the current legislation of the Republic of Uzbekistan.
  • A minor using the Service under the ‘Kid profile’ may have access to Content that exclusively corresponds to the age restriction within the User Subscription.
  • 4.7 The User understands and agrees that all actions performed within the Service through their User account, including non-cash payments, shall be deemed to have been performed by the User.
  • 5. Rights and obligations of the User.
  • 5.1 The User has the right to view, at his/her own choice, through the Service, the units of the Content, access to which is granted to the User under the Subscription, with the right to use the user management functionality of the Service.
  • 5.2 The User can independently delete the necessary personal information through the Service interface (where applicable), as well as request Frame to suspend or stop processing and/or delete all or part of the User's personal information, in accordance with the terms of Frame Privacy Policy.
  • 5.3 The User has the right to stop using the Service and cancel the Account belonging to him/her.
  • 5.4 The User has other rights in accordance with the Agreement and the legislation of the Republic of Uzbekistan.
  • 5.5 Compliance with the terms and conditions of the Agreement, including all User warranties, is the User's responsibility.
  • 5.6 By using the Service, the User guarantees and undertakes not to perform any actions aimed at bypassing the technical means of protection against unauthorised use of the Content, in particular, to take measures to bypass the system of territorial restriction of the Content display by IP-addresses, as well as any other actions against the normal operation of the Service and its other users.
  • 5.7 The User warrants and undertakes not to use software (malware) that may cause damage to devices and/or software of the Service, other users and any third parties.
  • 5.8 The User is obliged to respect the rights and legitimate interests of Frame, other users of the Service and the right holders, who own the exclusive right to the result of intellectual activity or to the means of individualisation used within the Service.
  • 5.9 The User undertakes to comply with the Content Moderation Rules located at: https://frame.uz/documents/en/moder-policy.docx, which are an integral part of this Agreement.
  • 5.10 the User fulfils other obligations established for him/her by the Agreement.
  • 6. Rights and obligations of the User to post Comments.
  • 6.1 The User may at his/her own will place Comments on the Service in relation to the Content. In this case, the User undertakes not to post Comments on the Service and not to use the Service to receive, send, distribute via/through the Service with a purpose of:
  • 6.1.1 calling for a violent change of the existing constitutional order and territorial integrity of the Republic of Uzbekistan;
  • 6.1.2 calling for mass disorder, violence against citizens, as well as participation in meetings, rallies, street processions and demonstrations held in violation of the established order, as well as coordination of such unlawful actions;
  • 6.1.3 dissemination of knowingly false information containing a threat to public order or security;
  • 6.1.4 propaganda of war, violence and terrorism, as well as ideas of religious extremism, separatism and fundamentalism;
  • 6.1.5 disclosure of information constituting state secrets or other secrets protected by law;
  • 6.1.6 dissemination of information inciting national, racial, ethnic or religious hatred, as well as defaming honor and dignity or business reputation of citizens, allowing interference in their private life;
  • 6.1.7 dissemination of information, including information expressed in an indecent form, demonstrating disrespect for society, the state and state symbols;
  • 6.1.8 propaganda of narcotic drugs, psychotropic substances and precursors;
  • 6.1.9 propaganda of pornography, cult of violence and cruelty, as well as incitement to commit suicide;
  • 6.1.10 illegal use of intellectual property objects belonging to other persons;
  • 6.1.11 dissemination of information aimed at inducing or otherwise involving citizens, including minors, in committing unlawful acts that pose a threat to their life and (or) health or to the life and (or) health of other persons;
  • 6.1.12 committing other acts entailing criminal and other liability in accordance with the legislation of the Republic of Uzbekistan.
  • 6.2 The User is prohibited to post Comments on the Service:
  • 6.2.1 of “customized” nature, i.e. created in someone else's interests that do not correspond to the purposes of creating the Service;
  • 6.2.2 facilitating the distribution on and/or through the Service of computer viruses or other computer codes, files or programs designed to disrupt, modify, block the destruction or limit the functionality of any computer or telecommunications equipment or programs for unauthorized access, as well as not to post serial numbers to commercial software products and programs for their generation, logins, passwords and other means of gaining unauthorized access to the Service as well as to paid resources on the Internet;
  • 6.2.3 of advertising nature - without prior consent of Frame
  • 6.2.4. which contain threats, discredit, insult, defame honor, dignity, business reputation, violate the privacy of Users or third parties;
  • 6.2.5. violating the rights of minors;
  • 6.2.6. propagandizing criminal activity or containing advice, instructions or guidelines for committing criminal acts;
  • 6.2.7. containing restricted information, including, but not limited to, trade secrets, information on private life of third parties;
  • 6.2.8. that are fraudulent in nature;
  • 6.2.9. containing links to third-party resources, the content of which contradicts the requirements of the legislation of the Republic of Uzbekistan.
  • 6.3 The User agrees that he/she will compensate Frame for any losses incurred by Frame due to the consequences caused by the User's posting of Comments in violation of the terms of the Agreement.
  • 6.4 Frame may, at its discretion, refuse to post, delete and/or edit Comments if they are not relevant to the topic of discussion, are of a negative nature or violate the provisions of the Agreement.
  • 6.5 By publishing the Commentary, the User guarantees that he/she is the author of the Commentary and grants Frame the right to use the Commentary: on the basis of a non-exclusive license; by means of publicity/distribution; in all countries of the world; during the whole term of the exclusive right; anonymously; free of charge.
  • 7. Rights and Responsibilities of the Frame.
  • 7.1 Frame may carry out preventive, technical and emergency works on the Service and make organizational decisions related to the operation of the Service as necessary. Due to functional development and modernization of the Service, Frame may rename the buttons, sections of the Service mentioned in the Agreement.
  • 7.2 If technically possible, Frame has the right to send Push notifications to the User in the Service.
  • 7.3. Has the right to engage any third parties to fulfill the obligations under the Agreement without agreement with the User.
  • 7.4 It has the right to provide the User with the right to use paid and free functions and opportunities within the framework of separate agreements on the basis of agreements with its partners.
  • 7.5 Frame has other rights in accordance with the Agreement and the legislation of the Republic of Uzbekistan.
  • 7.6 Frame undertakes to ensure, within the limits of its technical capabilities, the functioning of the Service in accordance with the terms of the Agreement and to fulfil other obligations established for it by the Agreement.
  • 8. Third-party resources and recommendation system.
  • 8.1 The link to any site, product, service, any information of commercial or non-commercial nature, placed on the Service by users, is not an endorsement or recommendation of these products (services) by Frame.
  • 8.2 Recommendation technologies are used on the Service. Recommendation technologies are information technologies of providing information on the basis of collection, systematization and analysis of information related to the preferences of Internet users located in the territory of the Republic of Uzbekistan. Frame strives to provide each User with the best individual content offer. For this purpose, the Service uses a recommendation system, which by means of technical means selects the appropriate Content for the interests of a particular User.
  • The recommendation system works on the basis of mathematical methods and algorithms. Views and ratings of the User's Content are analyzed. The results of the recommendation system are predictions and may not correspond to the actual preferences, aesthetic taste, the User's ideas about morality. Frame does not guarantee the conformity of the proposed recommendations to the actual preferences of the User.
  • 9. Warranties of the Parties.
  • 9.1 Frame confirms and warrants that it is a legal entity registered and acting in accordance with the laws of the Republic of Uzbekistan and has all the rights and powers to enter into the Agreement and to fulfil its obligations thereunder.
  • 9.2 The User guarantees that he/she does not use the Service in violation of the terms of the Agreement.
  • 9.3 The User accepts and agrees that the Content of the Service is intended solely for personal, non-commercial use within the technical capabilities provided by the Service. Any copying, reproduction, processing, distribution, communication to the public, circumvention of technical protection means, or any other use of the Content outside the framework of the capabilities provided by the Service, as well as any use for commercial purposes is prohibited, otherwise the User is liable for this in accordance with the legislation of the Republic of Uzbekistan.
  • 9.4 The User accepts and agrees that the rights to all objects constituting the design of the Service as a whole and its individual elements, including the software of the Service, belong to Frame. The rights to the Content belong to its legal owners. The User is liable for violation of the exclusive rights of Frame, the right holders of the Content or third parties in accordance with the legislation of the Republic of Uzbekistan.
  • 9.5 The User agrees that he/she will compensate Frame for any losses incurred by Frame in connection with the User's use of the Service (including all results of intellectual activity and means of individualisation, access to which is provided to the User within the Service) in violation of the terms of the Agreement.
  • 10. Personal data of the User.
  • 10.1 Personal data and other information of the User is processed in accordance with the terms of Frame Privacy Policy.
  • 10.2 By placing their data on the Service themselves and entering into the Agreement, the User confirms that they do so voluntarily and gives their consent to Frame to process their personal data.
  • 10.3 The User agrees that their information, if visible to other users of the Service, is publicly available, and that any User of the Service can familiarise themselves with it, except for personal information, access to which the User can restrict with the appropriate functionality of the Service. The information posted by the User on the Service (including personal information) is not intended for its collection and further distribution by third parties without obtaining a separate consent from the User.
  • 10.4 The User undertakes not to place personal information of other persons on the Service, as well as not to use personal information of other Users, which in any way does not comply with the requirements of the legislation of the Republic of Uzbekistan, for illegal or unlawful purposes, for profit and for any other purposes that do not correspond to the purposes of creation of the Service.
  • 10.5 If necessary, the identification of the User may be requested by means of the integrated My-ID module. The requested data is not collected, stored or processed by Frame. The procedure for the identification and processing of the relevant User data is governed by the My-ID rules.
  • 11. Liability of the Parties.
  • 11.1 Frame is not liable for the content of the Content or other information posted on the Service, as well as for the correctness of the classification of information products. Frame is also not responsible for the availability, content and consequences related to the use of third-party websites on the Internet, which are accessed by the User via hyperlinks placed in the Service interface. Responsibility for the content of the Content, proper classification of information products and Internet sites is fully borne by their right holders. Any link clicks are at the User's own risk.
  • 11.2 Frame ensures the functioning of the Service, but is not liable for its uninterrupted operation and does not guarantee that the Information posted on the Service will be available at all times or will not be deleted or lost.
  • 11.3 Frame is not liable for failure to fulfil or improper fulfilment of its obligations if this is caused by the User's actions beyond Frame's control. Neither shall Frame be liable for any damage caused to the User's device or third-party electronic devices, any other hardware or software caused by or related to the User's use of the Service.
  • 11.4 If the User transfers his/her device and/or User account information on the Service to a third party, the User is directly liable for such actions and the damage caused by them.
  • 11.5 Frame has no obligations and is not liable to the User or third parties for compensation of lost profit, moral or other damage. Does not refund the paid money and does not compensate for losses incurred due to unauthorized use of the User's account by third parties.
  • 11.6 In case of non-fulfilment or improper fulfilment of their obligations stipulated in the Agreement, the Parties shall be liable in accordance with the procedure stipulated by the legislation of the Republic of Uzbekistan, taking into account the provisions of the Agreement.
  • 11.7. The Parties shall be released from liability for partial or full failure to perform their obligations under the Agreement if such failure was caused by force majeure, including but not limited to: fire, earthquake, hurricane, lightning strike, military actions, terrorist act, strikes, disruption of electricity supply, accidents on data transmission networks and equipment used in the organization of the Service, decision of a governmental authority or entry into force of regulatory and legal acts, as well as any other circumstances that may affect the performance of the Agreement.
  • 12. Dispute Resolution.
  • 12.1 The Parties confirm that all disputes and disagreements that may arise out of or in connection with the Agreement will be resolved in a pre-trial claim procedure.
  • 12.2 In case of impossibility to resolve disputes and disagreements in the pre-trial claim procedure, they shall be considered in the order established by the current legislation of the Republic of Uzbekistan at the location of Frame.
  • 12.3 With regard to the use of the possibilities of the Service to receive gratuitous services provided under the Agreement, the norms of consumer protection cannot be applied to the relations between the User and Frame.
  • 12.4 If for one or more reasons one or more provisions of the Agreement are declared invalid or unenforceable, this shall not affect the validity or applicability of the remaining provisions of the Agreement.
  • 13. Other provisions.
  • 13.1 The Agreement shall become effective upon its acceptance by the User in accordance with Section 2 hereof.
  • 13.2 The User can send their questions and complaints regarding the use of the Service to the Frame support service to the following e-mail address: support@frame.uz, as well as via the contact form on the Service.
  • Consideration and response to them shall be carried out within 30 days from the moment the Frame support service registers the received User's request, unless another procedure is established on the Service.
  • 13.3 The Agreement, as well as all issues not regulated by it, shall be regulated and interpreted in accordance with the legislation of the Republic of Uzbekistan.
  • 13.4 The Agreement is originally drawn up in the Russian language. It may be provided to the User in translation from Russian into other languages, however, in case of contradiction between the terms of the Agreement in Russian and its translation, only the Russian version of the Agreement shall be legally valid.
  • 13.5 The Agreement may be amended by Frame at any time without any special notice. The new version of the Agreement shall come into force from the moment of its publication on the Service, unless otherwise provided by the new version of the Agreement. In case of disagreement with the changes in the Agreement, the User has the right to terminate the Agreement by refusing to use the Service. Otherwise, the Parties recognize that their relations are governed by the new version of the Agreement from the date of its entry into force, and the continued use of the Service by the User after any changes and/or amendments implies the User's consent to such changes and/or amendments.
